Terms & Conditions

The following Terms and Conditions apply to all users registered with a “Vendor” profile (i.e. organizations that can supply equipment and/or services).

“Buyer” profile (i.e. organizations that SupplHi provided access on platform for Vendor Management purposes) has dedicated Terms and Conditions that are part of each individual contract.

Our Mission

SupplHi is the Vendor Management platform for industrial equipment and services and its mission is to help companies around the world buy and sell B2B industrial equipment and services through digital innovation.

SupplHi leverages on digital technology and on its unique industry-specific standard model for the plant engineering industries with the objective of increasing efficiency, reducing costs and creating more opportunities for Buyers and Vendors, on a global level.

Agreement

When you use our Services, you or the company on whose behalf you are registering are entering into a legal agreement with SupplHi S.r.l. Società Unipersonale, Via A. Calabiana, 6 – 20139 Milano, Italy, registered at C.C.I.A.A. on Milan with number 09721660968, R.E.A. MI 2110015, with Fiscal Code and VAT number IT09721660968, info@supplhi.com (hereinafter simply “SupplHi”), and you agree to all of the following terms. Specifically you agree that by clicking “Submit” in the User Registration page you are entering into a legally binding agreement (even if you are using our Services on behalf of a company). You can also use our website by navigating the free pages as a Visitor, where you need no log in, but you cannot access all relevant contents and information provided by other Users. This agreement applies to all of these uses of SupplHi’s website. This agreement applies to mobile applications as well.

You also agree to our Privacy Policy, which covers how we collect, use, share, and store your personal information.

If you are empowered by your company to act as its representative, you are entering this agreement on behalf of your company. You both are subject to the rules established in this agreement. If you are not empowered, you act on your behalf, and you are bounded by this agreement personally.

This agreement includes this Terms and Conditions and the Privacy Policy and it may be amended by SupplHi from time to time.

You and other Buyer users will be able to extract the information you display on our website in a simple way, by using our tools. Therefore, please be aware that the information you provide us with might become available on-line also beyond SupplHi’s control.

Data Protection

The processing of personal data, if any, shared with SupplHi will be performed in compliance with the relevant regulation on personal data protection and according to our Privacy Policy.

Unless you give us your express content, any personal information you provide us with will be used by SupplHi only for the purposes of performing the Service or when required by the law.

Service

SupplHi allows Vendor to gain an additional commercial channel for industrial supplies and provides the following Services to Vendor, at no cost:

Host on platform information provided by Vendor in the Vendor Onboarding phase;
Host on platform information provided by Vendor in the Vendor Registration phase – available to Vendor once completed the Vendor Onboarding phase;
Host on platform information provided by Vendor in the Vendor Qualification Questionnaire phase – available to Vendor once completed the Vendor Registration phase;
Support Vendor in the Vendor Registration and Vendor Qualification Questionnaire phases, generate a list of missing information and perform Quality assurance to information provided by Vendor, helping Buyers trust the information and make quicker and more reliable decisions;
Once the Vendor reaches 100% information completion with Quality assurance by the SupplHi Team, make the information provided by Vendor visible to Buyers that SupplHi provided access to on platform;
Notify Vendor of expiring information and allowing the update on platform;
Allow Vendor to candidate to and monitor the status of the formal Qualification processes with Buyers that leverage on this functionality on platform;
Allow Vendor to receive Requests for Information (RFIs) by Buyers through the platform;
When possible, associate the Vendor company to a unique identification code provided by international data providers;
Access to a sample of Market Compass tool that helps Vendor scout for Buyers by providing information on planned and newly awarded projects;
Have a single Super-User of the Vendor company able to manage multiple Users connected to the same Vendor company and to handover, on platform and at any time, its role as User-User to the preferred colleague.

Other Services between the Vendor and SupplHi are regulated by dedicated Terms of Conditions of the specific Service.

SupplHi does not decide if a Vendor is qualified or not, neither within the network of the Platform nor with a specific Buyer organization. SupplHi’s role is to provide Buyers – through platform – access to structured and constantly updated information on Vendors, as well as a software to perform Buyer’s Vendor Management activities.

Cost of the Service

SupplHi will provide you the Services described in this agreement at no cost.

Account and User’s Obligations

By using our website, you confirm that you are at least 18 years old and that you are eligible to enter this agreement according to the following conditions.

To use the Services, you agree:

to have only one account, and your company will have at most one SupplHi account as a Vendor;
that such account will be in your real name and in the real name of your company;
that you are not already restricted by SupplHi from using the Services;
to comply with all applicable laws, including, without limitation, privacy laws, intellectual property laws, anti-spam laws etc.;
not to disclose information regarding yourself, your company or others that you do not have the right to disclose (such as confidential information of others);
not to violate intellectual property rights of others, including patents, trademarks, trade secrets, copyrights or other proprietary rights;
to provide us with accurate information and to keep it updated;
to use the Services only for professional purposes;
not to act unprofessionally, including by posting inappropriate, inaccurate, or objectionable content, contacting any other User with any kind of non-required communication, or act in an unlawful, libellous, abusive, obscene, discriminatory or otherwise objectionable manner;
not to add content that is not intended for, or inaccurate for, a designated field (e.g. submitting a telephone number in the “email” or any other field, or including telephone numbers, email addresses, street addresses or any personally identifiable information for which there is not a field provided by SupplHi);
not to use or attempt to use any other User’s account;
not to harm another person or damage any other company using our network;
not to send spam or other unwelcomed communications to others.

You will keep your password a secret, you will not share an account with anyone else and you will follow our rules and the law.

Specifically, you agree to:

choose a strong and secure password;
keep your password secure and confidential;
not transfer any part of your account;
not communicate your password to other Users;
follow the law. Please, be aware that you are responsible for anything that happens through your account.

Important Notices

You are okay with us using our website to provide you with important notices regarding the Service we offer you.

If the contact information you provide is not up to date, you may miss out on these notices.

You agree that we may provide notices to you in the following ways:

a banner notice on the Service;
an email sent to an address you provided;
through other means including mobile number, telephone, or mail. You agree to keep your contact information up to date.

Information Provided and Liability Limitation

Please, be aware that when you provide us with information, others can see, copy and use that information.

Our Services allow sharing of information in many ways, such as by allowing others to see the profile of your company. Information and content that you provide us with will be seen by Buyer Users.

You will answer the questions in the Vendor Registration and Vendor Qualification Questionnaire phases and provide updated answers as necessary. You ensure that the information provided to SupplHi:

is accurate;
is promptly maintained up to date;
does not contain anything that infringes the right of any third party or is otherwise unlawful;
reflects the equipment and services provided by Vendor.

We will not modify the meaning of the information you provide us with, which will be published under your responsibility on our website. Nevertheless, in case it is required to make it readable to others, we will modify the layout of the information.

Be aware that in case SupplHi were informed of wrongful or inappropriate sharing of information SupplHi may be required by law to remove certain information or content.

In case any information you provide us with resulted in any damage to any third party, to SupplHi Users or to Buyers acting upon such information, SupplHi will not be responsible in any way. By agreeing to this contract, you agree to take responsibility and indemnify SupplHi or third parties for any indirect, incidental, special, consequential or punitive damages, or any loss of data, opportunities, reputation, profits or revenues, any third party or Buyer might suffer in connection to the information you provided us with.

Please, be aware that, in order for us to provide Vendors and Buyers with our service and for compliance reasons, all interactions or changes to your Vendor company profile on platform are logged and stored by SupplHi. For such reasons, you and SupplHi will be able to access the logs. Only company data and no personal data – excepted for the user email – will be stored to this end.

Please, be also aware that, in order for us to provide Vendors and Buyers with our service, all interactions or changes to your Vendor company profile on platform are logged and made visible to the Buyers. Nevertheless, no personal data are processed or shared to this end.

Please, be aware that, in order to provide Users, Vendors and Buyers with a better service, the information you provide us with might be displayed in connection to other information SupplHi can rightfully use regarding your company and the services it provides (for example: financial strength scores provided by Financial Rating Agencies).

SupplHi wants to ensure that, within the limits of the service we provide you with, no information is shared with your competitors. Therefore, no information you provide us with is made visible to your competitors by SupplHi. To this end, our platform is designed such as to manage the rights of visibilities depending on the Buyer organization. In fact, specific Buyers have access to specific information according to pre-established criteria. In particular, based on the categories of supply of the SupplHi Standard Categorization and on the geographies of utilization. Such controlled access are made to notably prevent Vendors and vertically integrated Buyers from having access to information that can allow to compare themselves to competitors on an individual basis. In case of companies acting both as Buyers and Vendors, two separate profiles are provided, ensuring – by system design – that the Buyer profile does not have access to the information of companies active in the same Families of supply where the Vendor is registered in the category of supply of the SupplHi Standard Categorization. Please, be aware that, notwithstanding all our efforts, when you use SupplHi you are allowing your information to be available on the Internet and, therefore, they will not be a secret.

Rights on the Information

As between you and SupplHi, you agree to transfer to SupplHi all industrial and intellectual property or copy rights to use, copy, modify, distribute, publish, and process, information and content that you provide without any further consent, notice and/or compensation to you, your company or others.

We respect the intellectual property rights of others. We require that information provided by Users be accurate and not in violation of the intellectual property rights or other rights of third parties.

You also promise:

not modify, copy or create derivative works of SupplHi, the Services or any related technology (except as expressly authorized by SupplHi);
not to copy or use the information, content or data on SupplHi in connection with a competitive service;
not to reverse engineer, disassemble, decompile, decipher or otherwise attempt to derive the source code for the Services or any related technology or any part thereof;
not to monitor the Service, performance or functionality of SupplHi for any competitive purpose.

Content Provided by Third Parties

When you see or use others’ content and information posted on our website you do it at your own risk.

SupplHi is not responsible for third party activities.

By using our website, you may encounter content or information that might be inaccurate, incomplete, delayed, misleading, illegal, offensive or otherwise harmful. SupplHi does not review the content provided by Buyer organizations or other third parties and cannot guarantee its accuracy. You agree that we are not responsible for third parties’ (including other Users) content or information or for any damage as result of your use of or reliance on it.

You are responsible for deciding if you want to access or use third party apps or sites that link from our website. Third party websites have their own legal terms and privacy policies, and you may be giving others permission to use your information in ways we would not.

Connection to Our Service

We have the right to limit how you connect and interact on our Services.

SupplHi reserves the right to limit your use of the Services, including your ability to contact other Users. SupplHi reserves the right to restrict, suspend, or terminate your account if SupplHi believes that you may be in breach of this agreement or law or are misusing the service.

SupplHi reserves all of its intellectual property and industrial rights in the Services and on the software provided.

Service Availability

SupplHi may add, modify or delete any category of the Standard Categorization of equipment and service as well any questions addressed to Vendor.

We may change, suspend or end our Service, or change and modify prices prospectively in our discretion. To the extent allowed under law, these changes may be effective upon notice provided to you.

Please note that SupplHi does not work as a storage service. You agree that we have no obligation to store, maintain or provide you a copy of any content or information that you or others provide, except to the extent required by applicable law.

Logo Use

You authorize SupplHi to use your company’s logo and logotype in marketing material (company website, emails, brochures, presentations, etc.) for the purpose of identifying your company as a Vendor organization active on SupplHi.

SupplHi authorizes your company to use SupplHi’s logo and logotype in marketing material (company website, emails, brochures, presentations, etc.) only for the purpose of identifying your company as a Vendor organization active on SupplHi.

The logos cannot be modified or changed in any way and may only be used for the stated purpose. The logos shall not be used in any manner which may be considered disparaging or negative.

You promise not to use the word “SupplHi” in any business name, email, or URL if not with SupplHi’s consent.

Termination

Yourself or SupplHi may terminate this agreement at any time. Upon termination, you will lose the right to access or use the Service. Users’ rights to further re-share content and information you provided through the Service to the extent it was copied or re-shared prior to termination will survive the contract termination.

Governing Law and Dispute Resolution

In the unlikely event of a legal dispute, it will take place in Milan (Italy) and the Italian law will be applicable.

How to Read This Agreement

This agreement (including additional terms that may be provided by us when you engage with a feature of the service) supersedes all prior agreements for the Services.

If we do not act to enforce a breach of this agreement, that does not mean that SupplHi has waived its right to enforce this agreement. You may not assign or transfer this agreement (or your subscription or use of the service) to anyone without our consent.

We reserve the right to change the terms of this agreement. If you do not agree to these changes, you must stop using the Services.

I seguenti Termini e Condizioni si applicano a tutti gli utenti registrati con un profilo “Vendor” (cioè le organizzazioni che possono fornire beni e/o servizi).

Il profilo “Buyer” (cioè le organizzazioni alle quali SupplHi ha fornito l’accesso alla piattaforma per la gestione della propria base di fornitori) ha dei Termini e Condizioni dedicati.

La nostra missione

SupplHi è la piattaforma di Vendor Management per attrezzature e servizi industriali e la sua missione è quella di aiutare le aziende di tutto il mondo ad acquistare e vendere beni e servizi industriali B2B attraverso l’innovazione digitale.

SupplHi sfrutta tecnologie digitali e il suo modello per l’industria impiantistica con l’obiettivo di aumentare l’efficienza, ridurre i costi e creare maggiori opportunità per Buyers e Vendors, a livello globale.

Accordo

Quando usi i servizi che offriamo, entri a far parte della nostra community e prometti di rispettare le regole di utilizzo del nostro sito. In particolare, quando ti registri sul nostro sito, stai stipulando un contratto con SupplHi S.r.l. Società Unipersonale, Via A. Calabiana, 6 – 20139 Milano, Italia, registrata presso la C.C.I.A.A. di Milano con il numero 09721660968, R.E.A. MI 2110015, con Codice Fiscale e Partita IVA IT09721660968, info@supplhi.com (di seguito semplicemente “SupplHi”) e accetti tutte le seguenti condizioni in nome e per conto tuo o della società della quale fai le veci. Questo accordo disciplina anche l’uso delle applicazioni mobili.

È inoltre possibile utilizzare il nostro sito web navigando come Visitatore. In questo caso non è necessario effettuare il login, ma non è possibile accedere a tutti i contenuti e alle informazioni fornite da altri Utenti. Questo accordo disciplina tutti questi utilizzi del sito web di SupplHi.

Registrandosi al nostro sito, accetti anche la nostra Privacy Policy, che disciplina le modalità di raccolta, utilizzo, condivisione e archiviazione dei tuoi dati personali.

Se la tua società ti ha autorizzato ad agire come rappresentante, stai stipulando questo accordo per conto della tua società. Entrambi siete soggetti alle regole stabilite nel presente accordo. Se non sei autorizzato, sei vincolato personalmente dal presente accordo.

Il presente accordo include i Termini e Condizioni e la Privacy Policy che possono essere modificati da SupplHi.

Teniamo a sottolineare che, utilizzando il nostro sito, consenti a tutti gli utenti “Buyer” di visualizzare e estrarre le informazioni che carichi sul nostro sito web in modo semplice, utilizzando gli strumenti da noi messi a disposizione, e che tali informazioni potrebbero dunque circolare nella rete anche fuori dal nostro controllo.

Protezione dei dati personali

L’eventuale trattamento dei dati personali condivisi con SupplHi sarà effettuato nel rispetto della normativa in materia di protezione dei dati personali e secondo la nostra Privacy Policy.

A meno che l’utente non ci fornisca il suo consenso espresso, qualsiasi informazione personale fornitaci sarà utilizzata da SupplHi solo ai fini della prestazione del Servizio o qualora ciò sia richiesto dalla legge.

Servizio

SupplHi permette al “Vendor” di ottenere un canale commerciale aggiuntivo per la vendita di forniture industriali e gli offre i seguenti Servizi gratuiti:

Ospitare sulla piattaforma le informazioni fornite dal Vendor nella fase di Vendor Onboarding;
Ospitare sulla piattaforma le informazioni fornite dal Vendor nella fase di Vendor Registration – realizzabile da parte del Vendor una volta completata la fase di Vendor Onboarding;
Ospitare sulla piattaforma le informazioni fornite dal Vendor nella fase del Vendor Qualification Questionnaire – realizzabile da parte del Vendor una volta completata la fase di Vendor Registration;
Supportare il Vendor nelle fasi di Vendor Registration e Vendor Qualification Questionnaire, generare una lista di informazioni mancanti e realizzare attività volta a garantire la qualità delle informazioni fornite dal Vendor, aiutando i Buyer a poter fare affidamento su tali informazioni e a prendere decisioni più rapide ed affidabili;
Una volta che il Vendor raggiunge il 100% di completamento delle informazioni e dopo l’attività volta a garantire la qualità delle informazioni da parte del Team SupplHi, rendere visibili ai Buyer ai quali SupplHi fornisce accesso sulla piattaforma le informazioni fornite dal Vendor;
Notificare al Vendor le informazioni in scadenza e consentire l’aggiornamento sulla piattaforma;
Consentire al Vendor di candidarsi e monitorare lo stato dei processi formali di Qualifica con i Buyer che sfruttano questa funzionalità sulla piattaforma;
Consentire al fornitore di ricevere richieste di informazioni (RFI) da parte dei Buyer attraverso la piattaforma;
Quando possibile, associare l’azienda Vendor ad un codice identificativo univoco fornito da data providers internazionali;
Permettere l’accesso ad un esempio dello strumento Market Compass che aiuta il Vendor a ricercare i potenziali Buyer fornendo informazioni relative a progetti pianificati e ai nuovi progetti sanzionati;
Avere un unico Super-Utente del Vendor in grado di gestire più Utenti collegati allo stesso Vendor e di passare, sulla piattaforma e in qualsiasi momento, il proprio ruolo di Super-Utente ad un collega specifico.

Gli altri Servizi tra il Vendor e SupplHi sono regolati dai Termini e Condizioni del Servizio specifico.

SupplHi non decide se un Vendor è qualificato o meno, né all’interno della rete dei Buyers che usano la Piattaforma, né con una specifica organizzazione Buyer. Il ruolo di SupplHi è quello di fornire ai Buyers – attraverso la piattaforma – l’accesso ad informazioni strutturate e costantemente aggiornate sui Vendors, nonché un software per svolgere le attività di Vendor Management del Buyer.

Costo del servizio

SupplHi fornisce gratuitamente i Servizi descritti nel presente contratto.

Account e obblighi dell’Utente

Utilizzando il nostro sito web, confermi di avere almeno 18 anni e di avere diritto a prendere parte al presente accordo alle seguenti condizioni.

Per utilizzare i Servizi, dichiari di non essere già soggetto a restrizioni da parte di SupplHi nell’utilizzo dei Servizi e ti impegni a:

attivare un solo account personale e a che la tua società abbia un solo account SupplHi come Vendor;
fornire il tuo nome reale e il nome reale della tua società;
rispettare tutte le previsioni di legge applicabili come, ad esempio, la legge sulla protezione dei dati personali, sulla proprietà intellettuale, sullo spamming etc.;
non rivelare informazioni che riguardano la tua società o quella di altri che non hai il diritto di rivelare (come ad esempio segreti aziendali di altre società);
non violare i diritti di proprietà intellettuale di terze parti, inclusi brevetti, marchi, segreti commerciali, diritti d’autore o altri diritti di proprietà;
fornirci informazioni accurate e mantenerle aggiornate;
utilizzare i Servizi offerti da SupplHi solo a scopo professionale e non personale;
non agire in modo scorretto, pubblicando contenuti inappropriati, inesatti o discutibili, di contattare gli altri utenti per ogni forma di comunicazione non desiderata, o di agire in modo illegale, calunnioso, offensivo, osceno, discriminatorio o altrimenti discutibile;
non aggiungere contenuti che non siano destinati o che siano inesatti rispetto al campo da compilare (ad esempio, l’inserimento di un numero di telefono nella “email” o in qualsiasi altro campo);
non utilizzare o tentare di utilizzare l’account di un altro;
non danneggiare un’altra persona o danneggiare qualsiasi altra società che utilizza il nostro sito;
non inviare spam o altre comunicazioni indesiderate ad altri.

Ti impegni a mantenere segreta la tua password e a non condividere l’account con nessun altro. Ti impegni altresì a seguire le nostre regole e a non infrangere la legge.

In particolare, ti impegni a:

scegliere una password sicura;
mantenere la password sicura e riservata;
non trasferire alcuna parte del tuo account;
non comunicare la password ad altri utenti;
agire in conformità alla legge. Ciascuno è responsabile di tutto ciò che accade nel proprio account.

Avvisi Importanti

SupplHi potrà utilizzare il sito web per la comunicazione di avvisi importanti riguardanti il Servizio offerto.

Se le tue informazioni di contatto non sono aggiornate, potresti non ricevere questi avvisi.

Potremo comunicare con te nelle seguenti modalità:

tramite banner sul sito;
tramite email inviata all’indirizzo da te fornito;
attraverso altri mezzi, tra cui numero di cellulare, telefono o posta. L’utente accetta di mantenere aggiornate le informazioni di contatto.

Informazioni fornite e limitazione della responsabilità

Quando ci fornisci informazioni riguardanti la tua società, altri possono visualizzare, copiare e utilizzare tali informazioni.

I nostri Servizi consentono la condivisione delle informazioni in molti modi, ad esempio permettendo ad altri di vedere il profilo della tua società. Le informazioni e i contenuti che ci fornisci saranno visualizzati dagli utenti Buyer.

Per creare il profilo della tua società, risponderai alle domande nelle fasi di Vendor Registration e Vendor Qualification Questionnaire e, quando necessario, fornirai risposte aggiornate. A questo scopo garantisci che le informazioni fornite a SupplHi:

siano accurate;
vengano prontamente aggiornate;
non contengano nulla che violi il diritto di terzi o che sia altrimenti illegale;
riflettano i beni ed i servizi effettivamente offerti.

SupplHi non modificherà il contenuto delle informazioni che ci fornisci, che saranno pubblicate sotto la tua responsabilità sul nostro sito. Tuttavia, potremo modificare il layout delle informazioni nel caso in cui fosse necessario per renderle meglio leggibili ad altri.

Nel caso in cui SupplHi venisse informata di una condivisione di informazioni illecite, non corrette o inappropriate, potrebbe essere tenuta per legge a rimuovere tali informazioni o contenuti.

Nel caso in cui le informazioni che ci fornisci causino danni a terzi, agli Utenti SupplHi o ai Buyers che prendono decisioni sulla base di tali informazioni, SupplHi non né sarà in alcun modo responsabile. Utilizzando i nostri servizi, accetti di assumerti la responsabilità ed eventualmente di risarcire direttamente chiunque subisca un danno in relazione alle informazioni forniteci.

Ti informiamo che, al fine di fornire a Vendor e Buyer il nostro servizio e per motivi di compliance, tutte le interazioni o modifiche al tuo profilo aziendale del Vendor sulla piattaforma vengono registrate e memorizzate da SupplHi. Per tali motivi, voi e SupplHi sarete in grado di accedere ai registri. Solo i dati aziendali e nessun dato personale – fatta eccezione per l’email dell’utente – saranno memorizzati a questo scopo.

Al fine di fornire il nostro servizio a Vendor e Buyer, tutte le interazioni o le modifiche al profilo aziendale del vostro Vendor sulla piattaforma vengono registrate e rese visibili ai Buyer. Tuttavia, nessun dato personale viene trattato o condiviso a tal fine.

Al fine di fornire agli Utenti un servizio migliore, le informazioni che ci fornisci potrebbero essere visualizzate insieme ad altre informazioni che SupplHi può legittimamente utilizzare in riferimento alla tua società e ai servizi che fornisce (ad esempio: punteggi di solidità finanziaria forniti dalle Agenzie di Rating Finanziario).

SupplHi è costruito per non consentire ai tuoi concorrenti di visualizzare le informazioni che ci fornisci direttamente tramite il nostro sito. A tal fine, la nostra piattaforma è progettata in modo da gestire i diritti di visibilità a seconda dell’organizzazione del Buyer. Infatti, Buyer specifici hanno accesso a informazioni specifiche secondo criteri prestabiliti e, in particolare, in base alle categorie di fornitura della Categorizzazione Standard SupplHi e alle aree geografiche di utilizzo. Tale accesso controllato viene realizzato per impedire ai Vendor e ai Buyer verticalmente integrati di avere accesso a informazioni che possano permettere di confrontarsi con i concorrenti su base individuale. Nel caso di società che agiscono sia come Buyer, sia come Vendor, vengono forniti due profili separati, in modo che il profilo del Buyer non abbia accesso alle informazioni delle società attive nelle stesse famiglie di fornitura in cui il Vendor è registrato. Diritti sulle informazioni

Utilizzando il nostro sito, accetti di trasferire a SupplHi tutti i diritti di proprietà industriale e intellettuale sui dati e sui contenuti forniti, consentendoci di utilizzare, copiare, modificare, distribuire, pubblicare ed elaborare le informazioni forniteci senza alcun ulteriore consenso, avviso e/o compenso a te, alla tua società o ad altri.

Rispettiamo i diritti di proprietà intellettuale di terzi parti. Richiediamo che le informazioni fornite dagli Utenti siano accurate e non in violazione dei diritti di proprietà intellettuale o di altri diritti di terzi parti.

Usando il nostro Servizio, ti impegni inoltre a:

non modificare, copiare o creare opere derivate di SupplHi, dei Servizi o di qualsiasi tecnologia correlata (ad eccezione di quanto espressamente autorizzato da SupplHi);
non copiare o utilizzare le informazioni, il contenuto o i dati su SupplHi in relazione a un servizio concorrente;
non decodificare, disassemblare, decompilare, decifrare o tentare in altro modo di derivare il codice sorgente per i Servizi o qualsiasi tecnologia correlata o parte di essi;
non monitorare il Servizio, le prestazioni o le funzionalità di SupplHi per qualsiasi scopo competitivo.

Il contenuto fornito da terzi

Quando vedi o utilizzi i contenuti e le informazioni di altri pubblicate sul nostro sito, lo fai a tuo rischio. SupplHi non è responsabile per le attività di terzi parti.

Utilizzando il nostro sito, potresti incontrare contenuti o informazioni che potrebbero essere inaccurati, incompleti, non aggiornati, fuorvianti, illegali, offensivi o comunque dannosi. SupplHi non esamina le informazioni fornite dalle organizzazioni Buyer o di altri soggetti terzi e non può garantirne l’accuratezza. Utilizzando il nostro sito, sei consapevole che SupplHi non risponde dei contenuti o delle informazioni forniti da terzi (inclusi altri Utenti), per i danni derivanti dal loro uso o dall’affidamento su questi fatto.

Puoi decidere, sotto la tua responsabilità, se vuoi accedere o utilizzare app o siti di terzi parti che si collegano dal nostro sito. I siti di terzi parti hanno le proprie condizioni contrattuali e le proprie privacy policy e potresti dare ad altri il permesso di utilizzare le tue informazioni in modi diversi da noi.

Connessione al Nostro Servizio

SupplHi si riserva il diritto di limitare l’utilizzo dei Servizi, o la possibilità di contattare altri Utenti. SupplHi si riserva il diritto di limitare, sospendere o chiudere il tuo account se ritiene che potresti violare il presente accordo o la legge o utilizzare il servizio in modo improprio.

SupplHi si riserva tutti i diritti di proprietà intellettuale e industriale sui Servizi prestati e sul software messo a disposizione.

Disponibilità del Servizio

SupplHi può aggiungere, modificare o eliminare qualsiasi categoria della Categorizzazione Standard di beni e servizi, nonché qualsiasi domanda rivolta al Vendor.

Potremmo cambiare, sospendere o terminare il nostro Servizio o cambiare e modificare i prezzi del servizio. Nella misura consentita dalla legge, tali modifiche potrebbero essere efficaci previo avviso fornito all’utente.

SupplHi non funziona come servizio di archiviazione: non abbiamo l’obbligo di archiviare, conservare o fornirti una copia di qualsiasi contenuto o informazione che tu o altri fornite, tranne nella misura richiesta dalla legge applicabile.

Uso del logo

Autorizzi SupplHi ad utilizzare il logo e il marchio della tua società nel materiale di marketing (sito Web, email, brochure, presentazioni, etc.) al solo scopo di identificare la tua società come organizzazione di Vendor attiva su SupplHi.

SupplHi autorizza la tua società ad utilizzare il logo e il marchio di SupplHi nel materiale di marketing (sito Web, e-mail, brochure, presentazioni, etc.) al solo scopo di identificare la tua azienda come organizzazione di Vendor attiva su SupplHi.

I loghi non possono essere modificati in alcun modo e possono essere utilizzati solo per lo scopo dichiarato. I loghi non devono essere utilizzati in alcun modo che possa essere considerato denigratorio o negativo.

Ti impegni inoltre a non utilizzare la parola “SupplHi” in qualsiasi nome commerciale, email o URL se non con il consenso di SupplHi.

Recesso

Entrambe le parti possono recedere dal presente accordo in qualsiasi momento. Una volta effettuato il recesso, si perderà il diritto di accedere o utilizzare il Servizio. Nonostante l’eventuale intervenuto recesso, gli Utenti di SupplHi conserveranno il diritto di condividere nuovamente i contenuti e le informazioni forniti tramite il Servizio nella misura in cui questi sono stati copiati o ricondivisi prima del recesso.

Legge Applicabile e Risoluzione delle Controversie

Nella malaugurata ipotesi di lite, le parti scelgono quale foro di competenza elettivo quello di Milano (Italia). La legge applicabile è quella italiana.

Come Leggere Questo Accordo

Il presente accordo (inclusi i termini aggiuntivi che possono essere forniti da noi quando si interagisce con una funzionalità del Servizio) revoca tutti gli accordi precedenti.

Se non agiamo per far rispettare una violazione di questo accordo, ciò non significa che SupplHi abbia rinunciato al suo diritto di far valere questo accordo. Non è possibile cedere questo contratto (o l’abbonamento o l’utilizzo del servizio) senza il nostro consenso.

Ci riserviamo il diritto di modificare i termini del presente accordo. In caso di mancata accettazione delle modifiche, è necessario interrompere l’utilizzo dei Servizi.
